2. Description of Services
V5SI provides high-end business solutions divided into two primary sectors:
Creative Media Services: Custom digital production including CGI, 3D animations, architectural renderings, high-quality graphics, and artistic TVCs.
B2B SaaS Solutions: Web-based, multi-tenant enterprise software modules specialized for the real estate lifecycle, including operational, marketing, financial, and human resources applications.
3. Account Registration & Corporate Responsibility
- You are responsible for maintaining the strict confidentiality of your account credentials (usernames and passwords).
- You accept full responsibility for all activities, data transactions, and operational configurations executed under your corporate account by your employees, contractors, or agents.
- V5SI reserves the right to suspend or terminate any account that provides fraudulent, inaccurate, or outdated corporate information.
4. Payment Terms, Subscriptions, and Billing
A. Creative Media Services (Project-Based)
Fees for CGI, Animation, and custom graphics are calculated on a per-project scope and outlined in individual Statements of Work (SOW) or Contracts.
Typically, projects require an upfront deposit before production begins, with milestone payments linked to deliverables.
Late Payments: Failure to clear milestone invoices may result in the immediate halting of creative production and digital asset delivery.
B. B2B SaaS Platforms (Subscription-Based)
Billing Cycle: SaaS platforms are billed on a recurring subscription basis (monthly or annually).
Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled by the Client at least 30 days prior to the renewal date.
Non-Payment: If a recurring payment fails, V5SI grants a 7-day grace period. If payment is not settled within this window, V5SI reserves the right to freeze access to the software modules (CRM, HR, Finance) until the balance is paid.
5. Intellectual Property (IP) Rights
A. For Creative Media (CGI & Animation)
Transfer of Ownership: Upon full and final payment of all project invoices, V5SI transfers the intellectual property ownership of the final rendered deliverables (e.g., completed video file, finalized JPG image) to the Client.
Retained Rights: V5SI retains full ownership of all underlying source files, 3D models, code scripts, textures, and custom engine configurations used to generate the deliverables, unless explicitly agreed otherwise in a signed contract. V5SI reserves the right to showcase finalized non-confidential renders in its corporate portfolio.
B. For B2B SaaS Solutions (Software)
- No Transfer of Title: V5SI owns all rights, title, and interest in and to the SaaS platforms (source code, user interfaces, database structures, workflows, and updates).
- License Grant: You are granted a non-exclusive, non-transferable, revocable license to access and use the software solely for your internal business operations during your active subscription. You shall not reverse-engineer, decompile, duplicate, or attempt to extract the source code of any V5SI application.
C. Client Data Ownership
- Your Data: The Client retains absolute ownership over all data uploaded into the SaaS platforms (e.g., your tenant records, proprietary real estate financial data, employee files). V5SI acts purely as a host and data processor.
6. Acceptable Use Policy
You agree NOT to use V5SI platforms or services to:
- Upload, process, or host data that violates local or international laws (including fraudulent real estate listings, unauthorized personal identification data, or malware).
- Interfere with or disrupt the integrity or performance of the SaaS applications or the data contained therein.
- Use any automated web scrapers, bots, or data extraction tools to crawl our platforms or harvest intellectual data without prior written authorization.
7. Service Availability (SLA) & Technical Support
Uptime Goal: V5SI strives to maintain a 99.9% uptime availability for our SaaS platforms. However, service disruptions due to scheduled emergency maintenance, cloud infrastructure outages (e.g., AWS/GCP failures), or force majeure events do not qualify as a breach of these Terms.
Maintenance Windows: We will make commercially reasonable efforts to schedule routine system maintenance during off-peak operational hours and notify clients in advance.
8. Limitation of Liability
CRITICAL ENTERPRISE CLAUSE: > To the maximum extent permitted by applicable law, in no event shall V5SI, its directors, or developers be liable for any indirect, incidental, special, consequential, or punitive damages—including but not limited to loss of profits, loss of real estate transaction revenue, loss of financial data, payroll miscalculations, or business interruption—arising out of the use or inability to use our SaaS tools or creative deliverables.
In all scenarios, V5SI’s total aggregate liability for any legal claims arising out of this agreement shall not exceed the total amount paid by the Client to V5SI in the twelve (12) months immediately preceding the event giving rise to the claim.
9. Termination of Services
- By Client: You may cancel your SaaS subscription via your account dashboard or by contacting your account manager.
- By V5SI: We reserve the right to terminate access to any platform immediately without notice if you commit a material breach of these Terms or engage in illegal operational activities.
- Data Retrieval Upon Termination: Upon subscription termination, the Client has 30 days to request an export of their database (CRM contacts, financial ledgers, etc.). After 30 days, V5SI will securely delete all Client data from its active servers in accordance with our Privacy Policy.
10. Governing Law & Dispute Resolution
These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of [Insert Country/Jurisdiction of V5SI’s Legal Entity registration, e.g., Singapore / Vietnam], without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts located within that jurisdiction.
V5SI reserves the right to modify these Terms at any time. We will alert clients to major overhauls via systemic email notifications.
